This is a legal agreement between you and Tuktuk Rental (www.tuktukrental.com)
By submitting the online application, you are agreeing that you have read and understand the terms and conditions of this agreement and that you agree to be legally responsible for each and every term and condition.
This Agreement contains the complete terms and conditions governing your participation in the TukTuk Rental Affiliate Program.
The purpose of the Affiliate Program is to allow approved affiliates to promote TukTuk Rental through a unique affiliate link and earn commission on eligible bookings attributed to that link in accordance with this Agreement.
Throughout this Agreement, “TukTuk Rental,” “we,” “us,” and “our” refer to tuktukrental.com, and “Affiliate,” “you,” and “your” refer to the person or entity participating in the Affiliate Program.
Participation in the Affiliate Program does not guarantee any minimum level of traffic, bookings, commission or income.
2.1. To begin the enrollment process, you will complete and submit the online application on our website. The fact that we auto-approve applications does not mean we cannot re-evaluate your application later. We may reject your application at our sole discretion. We may cancel your application if we determine that your site or the way you promote us is unsuitable for our Program, including if it:
2.1.1. Promotes sexually explicit materials;
2.1.2. Promotes violence;
2.1.3. Promotes discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age;
2.1.4. Promotes illegal activities;
2.1.5. Incorporates any materials which infringe or assist others to infringe on any copyright, trademark or other intellectual property rights or to violate the law;
2.1.6. Includes "Merchant" or variations or misspellings thereof in its domain name;
2.1.7. Is otherwise in any way unlawful, harmful, threatening, defamatory, obscene, harassing, or racially, ethnically or otherwise objectionable to us in our sole discretion;
2.1.8. Contains software downloads that potentially enable diversions of commission from other Partners in our program
2.1.9. You may not create or design your website or any other website that you operate, explicitly or implied in a manner which resembles our website, nor design your website in a manner which leads customers to believe you are tuktukrental.com or any other affiliated business;
2.2. Tuktukrental.com reserves the right, at any time, to review your placement and approve the use of Your Links and require that you change the placement or use to comply with the guidelines provided to you;
2.3. The maintenance and the updating of your site will be your responsibility. We may monitor your site as we feel necessary to make sure that it is up-to-date and to notify you of any changes that we feel should enhance your performance;
2.4. It is entirely your responsibility to follow all applicable intellectual property and other laws that pertain to your site. You must have express permission to use any person's copyrighted material, whether it be a writing, an image, or any other copyrightable work. We will not be responsible (and you will be solely responsible) if you use another person's copyrighted material or other intellectual property in violation of the law or any third party rights.
3.1. We have the right to monitor your site/promotional activities at any time to determine if you are following the terms and conditions of this Agreement. We may notify you of any changes to your site that we believe should be made, to ensure that your links to our website are appropriate, and to notify you of any further changes we believe should be made. If you do not make the changes to your site that we feel are necessary, we reserve the right to terminate your participation in the tuktukrental.com Partner Program;
3.2 Fraud, Manipulation and Program Abuse
TukTuk Rental may immediately suspend or terminate an Affiliate’s participation in the Affiliate Program where we reasonably suspect fraud, manipulation, misuse or abuse of the Affiliate Program.
Prohibited activity includes, without limitation:
Where fraud or abuse is suspected, TukTuk Rental may place relevant commissions on hold while the matter is investigated.
Where fraud or abuse is confirmed, TukTuk Rental may cancel affected commissions, withhold unpaid amounts associated with the prohibited activity, deactivate the Affiliate’s links and immediately remove the Affiliate from the Affiliate Program without prior notice.
3.3. This Agreement will begin upon our acceptance of your Partner application, and will continue unless terminated hereunder.
3.4 Affiliate Links
Following approval, each Affiliate will be provided with a unique affiliate link through TukTuk Rental’s designated affiliate platform.
The Affiliate must use the link exactly as provided and must not remove, alter, obscure or interfere with its tracking parameters.
Affiliate links are non-transferable and may only be used by the Affiliate to whom they were assigned.
TukTuk Rental may update, replace, suspend, or deactivate an affiliate link as reasonably required for operational, security, compliance, or program management purposes.
4.1 Either you or we may end this Agreement AT ANY TIME, with or without cause, by giving the other party written notice. Written notice may be sent by mail or email. In addition, this Agreement will terminate immediately upon any breach of this Agreement by you.
We may modify any of the terms and conditions in this Agreement at any time, at our sole discretion. This is the latest version and is available online. Modifications may include, but are not limited to, changes to payment procedures and to tuktukrental.com's Partner Program rules. If any modification is unacceptable to you, your only option is to end this Agreement. Your continued participation in tuktukrental.com's Partner Program after the change notice or new Agreement is posted on our site will indicate your agreement to the changes.
Tuktukrental.com uses International Bank transfer for all payments, which are made on the third Thursday of every month to your account.
6.1 Commission Rate
Unless a different commission rate has been agreed with an Affiliate in writing, an Affiliate will earn a commission of USD $10 for each Eligible Completed Booking attributed to the Affiliate’s unique affiliate link.
TukTuk Rental may offer selected Affiliates a different commission rate, bonus or incentive arrangement. Any such arrangement must be confirmed in writing or displayed within the Affiliate’s Tapfiliate account.
6.2 Eligible Completed Booking
For the purposes of this Agreement, an “Eligible Completed Booking” means a booking that:

Where commission was provisionally recorded before a booking became ineligible, TukTuk Rental may reverse, reject or deduct that commission from the Affiliate’s current or future balance.
6.4 Monthly Payment Schedule
Eligible commissions are calculated and paid monthly.
Payments will normally be processed on the third Thursday of each calendar month.
Each monthly payment will include only commissions that are eligible, have been verified by TukTuk Rental, and are ready for payment by the applicable processing cut-off date.
A commission that has not completed the verification process by the relevant cut-off date will be carried forward to a later payment cycle.
If the third Thursday falls on a public holiday, a banking holiday, or another date when payment processing is unavailable, payment may be processed on the next reasonably available business day.
The date on which funds arrive in the Affiliate’s account may depend on the payment method, intermediary banks, financial institutions, country and currency involved.
6.5 Payment Method and Information
Payments will be made by international bank transfer or another payment method approved by TukTuk Rental and made available through the Affiliate Program.
Affiliates are responsible for providing complete and accurate payment details and keeping them up to date.
TukTuk Rental will not be responsible for payment delays, rejected payments or additional charges caused by incorrect, incomplete or outdated information supplied by the Affiliate.
Any bank, currency conversion, intermediary, or receiving fees may be deducted from or charged against the payment, where applicable.
6.6 Tracking and Verification
Commission attribution and reporting will be based primarily on the records maintained through Tapfiliate and TukTuk Rental’s internal booking and payment records.
Tapfiliate statistics may initially display clicks, conversions, or provisional commissions that are not yet eligible for payment.
In the event of an inconsistency between Tapfiliate and TukTuk Rental’s verified booking records, TukTuk Rental’s verified records will determine whether a booking has been successfully completed and whether commission is payable.
TukTuk Rental may review, approve, reject, reverse, or place a commission on hold as reasonably necessary to verify eligibility or investigate suspected errors, cancellations, refunds, disputes, fraud, or abuse.
6.7 Commission Queries
An Affiliate must notify TukTuk Rental of any commission or attribution query within 30 days after the relevant commission statement or payment date.
The Affiliate should provide sufficient supporting information to enable TukTuk Rental to investigate the query, including the relevant booking reference, where available.
6.8 Taxes
Affiliates are responsible for determining and satisfying their own tax, reporting, registration and other legal obligations arising from payments received through the Affiliate Program.
TukTuk Rental may request tax, identity, or payment-verification information before releasing a payment when reasonably required by law, a financial institution, or a payment provider.
7.1 Use of Tapfiliate
The TukTuk Rental Affiliate Program is administered using the Tapfiliate platform (https://affiliates.tuktukrental.com/) designated by TukTuk Rental.
Affiliates may use the platform to:
a. access their unique affiliate link;
b. monitor recorded clicks and conversions;
c. view provisional and approved commissions;
d. review payment information; and
e. maintain their account and payment details.
7.2 Account Responsibility
The Affiliate is responsible for maintaining the security and confidentiality of their Affiliate Program account and login details.
The Affiliate must notify TukTuk Rental promptly if they become aware of unauthorised access to their account or suspected misuse of their affiliate link.
The Affiliate must ensure that all information submitted through the affiliate platform remains accurate, complete and current.
7.3 Platform Availability and Tracking Limitations
Affiliate tracking may depend on cookies, tracking parameters, browser settings, device settings, customer actions and other technical factors.
TukTuk Rental does not guarantee that every click or booking will be tracked successfully.
TukTuk Rental will not be required to pay commission for a booking that cannot reasonably be attributed to the Affiliate through the applicable tracking system or verified through TukTuk Rental’s records.
TukTuk Rental may correct reporting or attribution errors where reasonably necessary.
8.1. You are free to promote (on) your own websites, but naturally, any promotion that mentions tuktukrental.com could be perceived by the public or the press as a joint effort. You should know that certain forms of advertising are always prohibited by tuktukrental.com. For example, advertising commonly referred to as "spamming" is unacceptable to us and could damage our reputation. Other generally prohibited forms of advertising include the use of unsolicited commercial email (UCE), postings to non-commercial newsgroups and cross-posting to multiple newsgroups at once. In addition, you may not advertise in any way that effectively conceals or misrepresents your identity, your domain name, or your return email address. You may use mailings to customers to promote tuktukrental.com, provided recipients are already customers or subscribers to your services or website, and they have the option to opt out of future mailings. Also, you may post to newsgroups to promote tuktukrental.com, provided the newsgroup specifically welcomes commercial messages. At all times, you must clearly represent yourself and your websites as independent from tuktukrental.com. If it comes to our attention that you are engaging in spamming, we will consider this grounds for immediate termination of this Agreement and your participation in the tuktukrental.com Partner Program. Any pending balances owed to you will not be paid if your account is terminated due to such unacceptable advertising or solicitation;
8.2. Partners that among other keywords or exclusively bid in their Pay-Per-Click campaigns on keywords such as tuktukrental.com, TukTuk Rental, www.tuktukrental.com, and/or any misspellings or similar alterations of these – be it separately or in combination with other keywords – and do not direct the traffic from such campaigns to their own website prior to re-directing it to ours, will be considered trademark violators, and will be banned from TukTuk Rental’s Partner Program. We will do everything possible to contact the Partner prior to the ban. However, we reserve the right to expel any trademark violator from our Partner Program without prior notice, and on the first occurrence of such PPC bidding behaviour;
8.3. Partners are not prohibited from keying in prospects’ information into the lead form as long as the prospects’ information is real and true, and these are valid leads (i.e. sincerely interested in tuktukrental.com’s service);
8.4. Partners shall not transmit any so-called “interstitials,” “Parasiteware™,” “Parasitic Marketing,” “Shopping Assistance Application,” “Toolbar Installations and/or Add-ons,” “Shopping Wallets” or “deceptive pop-ups and/or pop-unders” to consumers from the time the consumer clicks on a qualifying link until such time as the consumer has fully exited TukTuk Rental’s site (i.e., no page from our site or any tuktukrental.com’s content or branding is visible on the end-user’s screen). As used herein a. “Parasiteware™” and “Parasitic Marketing” shall mean an application that (a) through accidental or direct intent causes the overwriting of Partners and non Partner commission tracking cookies through any other means than a customer initiated click on a qualifying link on a web page or email; (b) intercepts searches to redirect traffic through an installed software, thereby causing, pop ups, commission tracking cookies to be put in place or other commission tracking cookies to be overwritten where a user would under normal circumstances have arrived at the same destination through the results given by the search (search engines being, but not limited to, Google, MSN, Yahoo, Overture, AltaVista, Hotbot and similar search or directory engines); (c) set commission tracking cookies through loading of Merchant site in IFrames, hidden links and automatic pop ups that open tuktukrental.com’s site; (d) targets text on web sites, other than those web sites 100% owned by the application owner, for the purpose of contextual marketing; (e) removes, replaces or blocks the visibility of Partner banners with any other banners, other than those that are on web sites 100% owned by the owner of the application.
8.5 Permitted Promotion of Affiliate Links
Affiliates may promote their assigned affiliate link through legitimate, audience-based channels under their control, including:
a. websites and blogs;
b. social media posts and profiles;
c. video and streaming platforms;
d. email newsletters sent to recipients who have consented to receive them;
e. podcasts;
f. private online communities; and
g. other promotional channels approved by TukTuk Rental.
The Affiliate must clearly identify themselves as independent of TukTuk Rental and must not state or imply that they are an employee, agent, representative, or an official branch of TukTuk Rental.
The Affiliate must not make false, misleading, unsubstantiated or unauthorised statements about TukTuk Rental, its vehicles, pricing, discounts, availability, destinations or services.
8.6 Affiliate-Link Abuse and Unauthorised Redirection
Affiliate links must be used only to direct genuine, voluntarily generated customer traffic to TukTuk Rental.
An Affiliate must not:
a. place an affiliate link behind an automatic redirect without a genuine user-initiated action;
b. redirect traffic from domains, advertisements, applications or pages that the Affiliate does not own or have permission to use;
c. use misleading buttons, links, pop-ups or advertisements that conceal the fact that the customer is being directed to TukTuk Rental;
d. use link-cloaking techniques for the purpose of deceiving customers, TukTuk Rental or the affiliate platform;
e. inject, overwrite or replace tracking information belonging to another Affiliate;
f. use browser extensions, toolbars, downloadable software, malware, adware or similar technology to generate or intercept referrals;
g. automatically open TukTuk Rental’s website through iframes, pop-ups, pop-unders, hidden windows or embedded pages;
h. place affiliate tracking without the customer knowingly clicking the Affiliate’s promotional content; or
i. use any redirection or technical method intended to claim commission for traffic the Affiliate did not genuinely refer.
A breach of this clause constitutes a material breach of this Agreement and may result in immediate suspension or permanent removal from the Affiliate Program, deactivation of the Affiliate’s links and cancellation of unpaid commissions connected with the prohibited activity.
8.7 Disclosure of Affiliate Relationship
Affiliates must clearly disclose their commercial relationship with TukTuk Rental whenever promoting an affiliate link.
The disclosure must be clear, prominent, easily understood and placed close enough to the affiliate link or recommendation that a reasonable customer is likely to see it before acting on the promotion.
Examples of acceptable disclosures may include:
“This post contains an affiliate link. I may earn a commission if you make a booking through it.”
“I am a TukTuk Rental affiliate and may receive commission from eligible bookings.”
The Affiliate is responsible for complying with all advertising, endorsement, influencer marketing, consumer protection, and disclosure requirements applicable to its location, audience, and promotional platform.
9.1. We grant to you a non-exclusive, non-transferable, revocable right to (i) access our site through HTML links solely in accordance with the terms of this Agreement and (ii) solely in connection with such links, to use our logos, trade names, trademarks, and similar identifying material (collectively, the "Licensed Materials") that we provide to you or authorize for such purpose. You are only entitled to use the Licensed Materials to the extent that you are a member in good standing of tuktukrental.com's Partner Program. You agree that all uses of the Licensed Materials will be on behalf of tuktukrental.com and the goodwill associated therewith will inure to the sole benefit of tuktukrental.com;
9.2. Each party agrees not to use the other's proprietary materials in any manner that is disparaging, misleading, obscene, or that otherwise portrays the party in a negative light. Each party reserves all of its respective rights in the proprietary materials covered by this license. Other than the license granted in this Agreement, each party retains all right, title, and interest to its respective rights and no right, title, or interest is transferred to the other.
9.3 Use of Approved Materials
Affiliates may use only those logos, images, banners, descriptions and other marketing materials supplied or expressly approved by TukTuk Rental.
Affiliates must not alter TukTuk Rental’s trademarks or brand materials in a misleading manner or use them in a way that suggests ownership, sponsorship, endorsement or authority beyond the Affiliate’s participation in the Affiliate Program.
TukTuk Rental may require an Affiliate to remove or amend any promotional content that does not comply with its brand guidelines or this Agreement.
Tuktukrental.com makes no express or implied representations or warranties regarding the tuktukrental.com service and website or the products or services provided therein; any implied warranties of tuktukrental.Com's ability, fitness for a particular purpose, and non-infringement are expressly disclaimed and excluded. In addition, we make no representation that the operation of our site will be uninterrupted or error-free, and we will not be liable for any consequences arising from interruptions or errors.
You represent and warrant that:
11.1. This Agreement has been duly and validly executed and delivered by you and constitutes your legal, valid, and binding obligation, enforceable against you in accordance with its terms;
11.2. You have the full right, power, and authority to enter into and be bound by the terms and conditions of this Agreement and to perform your obligations under this Agreement, without the approval or consent of any other party;
11.3. You have sufficient right, title, and interest in and to the rights granted to us in this Agreement.
We will not be liable to you with respect to any subject matter of this agreement under any contract, negligence, tort, strict liability or other legal or equitable theory for any indirect, incidental, consequential, special or exemplary damages (including, without limitation, loss of revenue or goodwill or anticipated profits or lost business), even if we have been advised of the possibility of such damages. Further, notwithstanding anything to the contrary contained in this agreement, in no event shall tuktukrental.Com's cumulative liability to you arising out of or related to this agreement, whether based in contract, negligence, strict liability, tort or other legal or equitable theory, exceed the total commission fees paid to you under this agreement.
You hereby agree to indemnify and hold harmless tuktukrental.com, and its subsidiaries and Partners, and their directors, officers, employees, agents, shareholders, partners, members, and other owners, against any and all claims, actions, demands, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees) (any or all of the foregoing hereinafter referred to as "Losses") insofar as such Losses (or actions in respect thereof) arise out of or are based on (i) any claim that our use of the Partners trademarks infringes on any trademark, trade name, service mark, copyright, license, intellectual property, or other proprietary rights of any third party, (ii) any misrepresentation of a representation or warranty or breach of a covenant and agreement made by you herein, or (iii) any claim related to your site, including, without limitation, content therein not attributable to us.
All confidential information, including, but not limited to, any business, technical, financial, and customer information, disclosed by one party to the other during negotiation or the effective term of this Agreement which is marked "Confidential," will remain the sole property of the disclosing party, and each party will keep in confidence and not use or disclose such proprietary information of the other party without the express written permission of the disclosing party.
15.1. You agree that you are an independent contractor, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between you and tuktukrental.com. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on Your Site or any other of Your Site or otherwise, that reasonably would contradict anything in this Section;
15.2. Neither party may assign its rights or obligations under this Agreement to any party, except to a party who obtains all or substantially all of the business or assets of a third party;
15.3. This Agreement shall be governed by and interpreted in accordance with the laws of the State of Queensland, Australia without regard to the conflicts of laws and principles thereof;
15.4. You may not amend or waive any provision of this Agreement unless in writing and signed by both parties;
15.5. This Agreement represents the entire agreement between you and us, and shall supersede all prior agreements and communications of the parties, oral or written;
15.6. The headings and titles contained in this Agreement are included for convenience only, and shall not limit or otherwise affect the terms of this Agreement;
15.7. If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be eliminated or limited to the minimum extent necessary such that the intent of the parties is effectuated, and the remainder of this Agreement shall have full force and effect.
15.8 You agree not to promote, work with or in any way affiliate yourself with organisations or parties that rent tuktuks or organise tuktuk-related events around the world.
15.9 Changes to Commission Arrangements
TukTuk Rental may change the standard commission rate, eligibility requirements, payment procedures, or Affiliate Program rules by updating this Agreement or by notifying Affiliates via email, Tapfiliate, or another reasonable communication channel.
Unless otherwise stated, a change will apply prospectively and will not reduce commission already earned on an Eligible Completed Booking before the effective date of the change.
Continued participation in the Affiliate Program after the effective date of an amendment constitutes acceptance of the amended terms.
